BYM SARL Formally Established

Black & Yellow Minerals SARL (BYM) has been officially incorporated as a limited liability company under the laws of the Democratic Republic of Congo, marking a pivotal milestone in the structuring of responsible gold production in the Province of Ituri.

The incorporation process, completed in December 2024, establishes BYM as a fully registered mining sector entity with the legal framework necessary to formalize partnerships with licensed artisanal cooperatives, deploy capital, and engage with international investors.

The corporate structure has been designed to meet institutional governance standards, with clearly defined roles for executive management, financial oversight, and operational leadership. This structure is critical for attracting qualified investors who require transparency and accountability in their mining sector allocations.

BYM's registration with the relevant DRC authorities — including the mining cadastre, the provincial mining division, and the national business registry — provides the legal foundation for all subsequent operational and commercial activities.

With the corporate entity now in place, BYM immediately commenced the process of formalizing cooperative partnerships, beginning due diligence on the COMIPED and COMEAD cooperatives, and initiating equipment procurement planning for the four target concessions in the Territory of Djugu.

"This incorporation represents more than a legal formality," noted BYM leadership. "It signals our commitment to building a professional, transparent, and scalable gold production platform that serves the interests of investors, communities, and the broader mining ecosystem in the DRC."
